These Terms of Service (“Terms”) govern your access to and use of the RecallCentric platform and website located at recallcentric.com (collectively, the “Service”), operated by RecallCentric (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
RecallCentric is an enterprise recall compliance platform that enables organizations to monitor recalls, author and distribute recall alerts via email and SMS, collect structured responses from affected locations, and generate audit-ready compliance reports. The Service is designed exclusively for transactional, operational, and compliance-related communications.
2. Acceptable Use
You agree to use the Service only for its intended purpose: recall compliance and related operational communications. Specifically, you agree that you will NOT use the Service to:
- Send marketing emails, promotional messages, advertising, or any form of unsolicited commercial communication.
- Send bulk marketing messages or newsletters of any kind, including messages that promote products, services, sales, or events unrelated to active recall compliance.
- Distribute content that is not directly related to product recall alerts, safety notifications, or compliance response workflows.
- Upload, transmit, or distribute any content that is unlawful, defamatory, harmful, or infringes on the rights of others.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the Service or servers and networks connected to the Service.
- Use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party’s use of the Service.
RecallCentric is not a marketing platform. We are a recall compliance and safety notification platform. Any use of the Service for marketing or promotional purposes is a material breach of these Terms and will result in immediate termination of access without notice or refund.
3. Accounts & Access
Access to the platform is provided to authorized enterprise organizations and their designated users. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
4. SMS & Email Communications
The Service enables organizations to send recall alerts and compliance notifications via email and SMS. By using these features, you represent and warrant that:
- You have obtained all necessary consents from recipients to receive transactional recall alerts and safety notifications via email and SMS.
- All communications sent through the Service are transactional or operational in nature, related to active recall events, compliance workflows, or account activity.
- You will honor all opt-out and STOP requests promptly and in compliance with applicable law.
- You will comply with all applicable laws and regulations governing electronic communications, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and applicable state laws.
SMS Specific Terms
- SMS messages sent through the Service are limited to recall alerts and compliance notifications.
- Message frequency varies based on recall activity.
- Message and data rates may apply to recipients.
- Recipients may opt out at any time by replying STOP.
- Recipients may reply HELP for assistance or contact support@recallcentric.com.
5. Data Ownership & Responsibility
Enterprise customers retain ownership of all recall data, response data, and compliance records created through the Service. RecallCentric processes this data on your behalf and will not use it for any purpose other than providing and improving the Service.
You are responsible for the accuracy and legality of the data you upload, the content of the alerts you distribute, and ensuring that your use of the Service complies with all applicable laws and industry regulations.
6. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by RecallCentric and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. You may not copy, modify, distribute, or reverse engineer any part of the Service.
7. Availability & Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or temporarily suspend the Service as needed. Enterprise customers receive dedicated support in accordance with their service agreement.
8. Limitation of Liability
To the maximum extent permitted by law, RecallCentric shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless RecallCentric, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, including but not limited to any use of the Service for marketing or promotional purposes. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, indemnification, and limitation of liability.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
